Terms & Conditions

1. Agreement Overview

Welcome to Wolfest Excellency (“Wolfest,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern all access to and use of our website, marketing automations, software integrations, and consulting services (“Services”). By engaging with Wolfest in any capacity, you acknowledge and accept these Terms in full.

2. Nature of Services

Wolfest Excellency provides automation-driven marketing, analytics, and performance systems primarily for restoration and home-service industries. Each engagement may include lead tracking, call routing, CRM automation, analytics dashboards, campaign management, and reputation systems. Service scope and pricing are defined in individual client proposals or invoices.

3. Client Obligations

Provide accurate and timely access to required accounts, data, and creative assets.
Maintain compliance with applicable laws governing advertising, data, and telecommunication.
Respond promptly to feedback, approvals, and data requests necessary for workflow execution.
Understand that campaign success depends on client-side responsiveness and quality of leads or services provided.

4. Fees, Billing, and Payment

All invoices are payable upon receipt unless otherwise agreed in writing.
Setup, onboarding, and integration fees are non-refundable once work begins.
Monthly retainers renew automatically unless terminated in accordance with Section 10.
Late or failed payments may result in immediate suspension of services without prior notice.
Wolfest reserves the right to adjust pricing for new deliverables, scope changes, or third-party cost variations.

5. Performance and Deliverables

Wolfest commits to providing high-quality, data-driven automation and marketing systems. However, client acknowledges that due to market conditions, competition, and operational execution beyond our control, specific performance results (ROI, lead volume, or revenue) are not guaranteed. All marketing efforts are provided on a best-effort, optimization basis.

6. Intellectual Property & Licensing

All proprietary software, workflows, scripts, automation logic, creative frameworks, and data analytics dashboards remain the exclusive property of Wolfest Excellency.
Client is granted a limited, non-transferable license to use deliverables only for internal business use while services are active and paid.
Replicating, reverse-engineering, or reselling Wolfest’s methodologies, templates, or automations is strictly prohibited.

7. Confidentiality & Non-Disclosure

Both parties agree to maintain strict confidentiality regarding all non-public data, trade secrets, client lists, and proprietary systems exchanged during the engagement. Wolfest may reference anonymized data or high-level metrics solely for performance benchmarking or case studies unless otherwise prohibited in writing.

8. Data Protection & Compliance

Wolfest operates under GDPR and CCPA-compliant principles. All client data is encrypted, processed securely, and never sold or shared with third parties without consent. Client remains the data controller for all leads, contacts, and CRM data provided.

9. Third-Party Tools & Integrations

Wolfest integrates with third-party platforms (e.g., Google Ads, HubSpot, HighLevel, CallRail, Zapier). Client understands that Wolfest has no control over outages, platform policy changes, or limitations caused by these external providers.

10. Term, Renewal, and Termination

Agreements operate on a month-to-month or fixed-term basis as specified in proposals.
Either party may terminate with 30 days’ written notice.
No refunds will be issued for partial months or completed deliverables.
Wolfest reserves the right to terminate immediately for late payments, misconduct, or misuse of proprietary systems.

11. Limitation of Liability

To the fullest extent permitted by law, Wolfest, its officers, employees, or partners shall not be liable for any indirect, incidental, special, or consequential damages arising from use or inability to use the Services. In all cases, Wolfest’s total liability shall not exceed the fees paid by the client within the three (3) months preceding the claim.

12. Indemnification

Client agrees to indemnify and hold harmless Wolfest, its affiliates, and personnel from all claims, losses, and legal fees resulting from client’s misuse of services, data mismanagement, or non-compliance with advertising and privacy regulations.

13. Non-Solicitation

During engagement and for twelve (12) months following termination, client shall not directly or indirectly hire, contract, or solicit Wolfest employees, contractors, or consultants without written consent.

14. Portfolio Rights & Attribution

Wolfest may list the client’s name, logo, and anonymized project results as part of its case studies or marketing materials unless expressly prohibited by written agreement.

15. Force Majeure

Neither party is liable for delays or failures due to events beyond reasonable control, including natural disasters, power failures, data-center issues, or regulatory changes.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute shall be settled through binding arbitration in Pune, India, in accordance with the Arbitration and Conciliation Act, 1996.

17. Amendments & Severability

Wolfest reserves the right to update or modify these Terms without prior notice. Updated versions will be posted publicly. Continued engagement constitutes acceptance of any revised Terms. If any clause is deemed invalid, remaining sections remain enforceable.

18. Entire Agreement

These Terms, along with executed proposals, invoices, or statements of work, constitute the full agreement between Wolfest and the Client, superseding all prior communications or understandings.
